Welcome to NeuroNest AI. These Terms of Service (“Terms”) govern your access to and use of the NeuroNest AI application, which is available for Windows, iOS, and Android, as well as the NeuroNest AI parent dashboard, accessible through a subdomain of our website. Together, the application and the parent dashboard (the “Services”) are provided by Team V Holdings, LLC (“we,” “our,” or “us”). Subscriptions may be purchased either through our website or directly through one of the associated app stores. NeuroNest AI provides subscription-based digital services. No physical goods are sold or shipped through our platform.

By accessing or using the Services, you agree to be bound by these Terms, our Privacy Policy, and our Return & Cancellation Policy. Please read them carefully before using the Services.

Eligibility

You must be at least 13 years old to use NeuroNest AI. By creating an account, you confirm that you are 13 or older. If you are under 18, you must have parental or guardian permission to use the app. We rely on self-reported age information, and users who provide false information may have their accounts suspended or terminated.

Accounts

To access certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You agree to provide accurate, complete, and up-to-date information when creating your account.

Subscription Purchases and Billing

Subscription fees are charged at the time of purchase and renew automatically unless canceled in accordance with our Return & Cancellation Policy.

Subscriptions provide access to both the NeuroNest AI application and the parent dashboard.

Your method of cancellation depends on where the subscription was purchased (website or app store). Please refer to the Return & Cancellation Policy for full details.

All subscription fees are non-refundable once a billing cycle has started. Partial or pro-rated refunds are not available.

Acceptable Use

You agree not to use the Services in any way that:

Violates applicable laws or regulations;

Infringes on the intellectual property or privacy rights of others;

Harms, interferes with, or disrupts the Services;

Attempts to gain unauthorized access to our systems or data.

Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, and software, are the property of Team V Holdings, LLC or our licensors and are protected by copyright, trademark, and other laws.

You are granted a limited, non-exclusive, non-transferable license to use the Services for personal, non-commercial purposes.

Beta Access

If you are accessing NeuroNest AI as part of a beta or pre-release program, you acknowledge and agree that the Services may contain errors, bugs, or limited functionality. Features may change prior to the public release, and we are not obligated to provide ongoing access to beta versions.

Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

Disclaimers

The Services are provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

In addition to the general disclaimers above, the following safety-related disclaimers apply specifically to the automated monitoring features of the Services.

Safety Monitoring & Liability Disclaimer

NeuroNest AI provides automated tools designed to support your child’s executive function development and emotional wellness. As part of its functionality, NeuroNest AI may analyze conversation content and user interactions to identify language patterns that could suggest emotional distress, self-harm, suicidal ideation, or potential harm to others. Because this analysis is automated and limited in scope, it may miss critical information, may misinterpret language, and may generate false positives or false negatives.

Not a Substitute for Professional Care

NeuroNest AI does not provide medical, psychological, therapeutic, or crisis intervention services.
The app and its features are not intended to diagnose, treat, cure, prevent, or predict any mental health condition, nor should they be relied upon as a substitute for professional judgment, in-person evaluation, or emergency services.

If you believe your child may be in immediate danger or experiencing a mental health crisis, contact emergency services or a licensed mental health professional right away.

No Guarantee of Detection

NeuroNest AI’s automated systems operate only within the app environment and do not monitor external platforms, offline behavior, or communications outside the app. Team V Holdings, LLC does not guarantee that any harmful, dangerous, or concerning language or behavior will be detected, intercepted, flagged, or communicated to you.
Parents and guardians remain fully responsible for their child’s safety and for determining the appropriate actions to take if concerns arise. NeuroNest AI cannot guarantee delivery of alerts or uninterrupted operation of the Services, including during outages, maintenance, or connectivity issues.

User Responsibility

By using the Services, you acknowledge and agree that:

--You are solely responsible for receiving, reading, interpreting, and acting upon any alerts or notifications provided by the Services.
--You will not rely exclusively on NeuroNest AI for safety-critical decisions or risk assessment.
--Monitoring is inherently limited, may not detect crisis situations, and should be considered only one supplemental tool among many.
--You remain fully responsible for supervising your child’s well-being, both online and offline.
--You are responsible for regularly checking the parent dashboard and notification settings to ensure you receive alerts.

Limitation of Liability

To the maximum extent permitted by law, Team V Holdings, LLC, its owners, employees, developers, contractors, affiliates, agents, service providers, and licensors shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or related to:

--use of the app or Services,
--reliance on automated monitoring or alerts,
--missed indicators of emotional distress or danger,
--false positives or false negatives,
--any failure to detect, analyze, or report concerning behavior, or
--any actions or inactions taken as a result of information provided by the Services.

This limitation applies to all claims, including those based on negligence, except where prohibited by law.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. You agree to the exclusive jurisdiction of the state and federal courts located in Texas to resolve any dispute arising under these Terms.

Changes to These Terms

We may update these Terms from time to time. Changes will be posted here with a new effective date. Your continued use of the Services after any changes are posted constitutes your acceptance of the updated Terms.
